Overview
These Affiliate Program Terms ("Affiliate Terms") govern your participation in the Rhinely Affiliate Program (the "Program"). They are in addition to, and do not replace, our Terms of Service and Privacy Policy. By applying to or participating in the Program you agree to these Affiliate Terms.
1. Eligibility and Application
- You must have a Rhinely account and submit an application describing your audience and how you intend to promote Rhinely.
- Acceptance into the Program is at Rhinely's sole discretion. We may approve or decline any application, and we may revoke approval at any time.
- Once approved, you receive a unique referral link and code. You are responsible for keeping your account credentials and referral code secure.
2. How Referrals Are Tracked
- When a visitor follows your referral link, we place a cookie in their browser that identifies you as the referring affiliate for a limited tracking window.
- If that visitor creates a Rhinely seller account while the cookie is present, the account is attributed to you. Attribution is per browser and per account; it does not span devices, and it is recorded once at sign-up.
- Only new seller accounts created through your link qualify. Existing accounts, your own account, and accounts you control do not qualify.
3. Commissions
- For each seller you refer, you earn a recurring commission on what that seller pays Rhinely: a percentage of their subscription payments and a percentage of their fulfillment charges. The current rates and earning window are shown on the affiliate landing page and in your affiliate dashboard.
- Commissions accrue only on payments made during the earning window, which begins when the referred seller signs up and lasts for the period stated in your dashboard (currently 12 months). After the window closes, no further commissions accrue for that referral.
- Commissions are calculated on amounts actually paid to Rhinely and exclude shipping, taxes, third-party fees, and any amounts Rhinely refunds or does not collect.
- A commission is first recorded as pending, then becomes confirmed after a maturation period that allows for refunds and chargebacks. Only confirmed commissions are eligible for payout.
4. Refunds, Chargebacks, and Clawbacks
- If a referred seller's payment is later refunded, reversed, charged back, or otherwise not collected, the related commission is reversed ("clawed back"). A partial or per-line refund voids the entire commission for that order.
- If a commission has already been paid out when a clawback occurs, the clawed-back amount is deducted from your future earnings or payouts. You agree that Rhinely may offset clawbacks against any balance owed to you.
- Rhinely may withhold, adjust, or reverse commissions that result from fraud, abuse, error, or violation of these Affiliate Terms.
5. Payouts
- You may request a payout of your confirmed, unpaid balance once it meets the minimum payout threshold shown in your dashboard.
- Payouts are sent to the payment details you provide (e.g., PayPal or bank). You are responsible for the accuracy of those details and for any taxes on amounts you receive.
- Rhinely reviews payout requests before processing and may delay or decline a payout pending review of the underlying commissions.
6. Prohibited Conduct
You agree not to:
- Refer yourself or accounts you own or control, or coordinate self-referrals through other people ("self-dealing").
- Use spam, unsolicited email, misleading claims, fake reviews, or any deceptive practice to promote Rhinely.
- Bid on Rhinely trademarks in paid search, register confusingly similar domains, or impersonate Rhinely.
- Offer unauthorized rebates, coupons, or incentives that misrepresent the offer, or "cookie stuff" / inject referral codes without a genuine click.
- Make any representation about Rhinely that is false, or that suggests you are an employee, agent, or official representative of Rhinely.
Violation of this section may result in immediate termination and forfeiture of unpaid commissions.
7. Relationship of the Parties
You are an independent contractor. Nothing in these Affiliate Terms creates an employment, partnership, joint venture, or agency relationship. You have no authority to bind Rhinely or to make commitments on its behalf.
8. Changes to the Program
Rhinely may change the commission rates, earning window, payout threshold, eligibility rules, or any other aspect of the Program at any time. Changes apply going forward from the date they take effect. Your continued participation after a change constitutes acceptance of the change.
9. Termination
- You may leave the Program at any time. Rhinely may suspend or terminate your participation at any time, with or without cause.
- On termination, your referral link stops earning new commissions. Confirmed, unpaid commissions earned before termination remain payable unless the termination is for fraud, abuse, or violation of these Affiliate Terms, in which case unpaid commissions may be forfeited.
10. Disclaimers and Limitation of Liability
The Program is provided "as is." Rhinely does not guarantee any minimum earnings, traffic, or conversions. To the maximum extent permitted by law, Rhinely's total liability arising out of the Program is limited to the total commissions payable to you in the three months preceding the event giving rise to the claim.
11. Governing Law
These Affiliate Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules. Any dispute will be resolved in the state or federal courts located in Texas.
